CEDAR Audio becomes employee owned
Academy Award® and Emmy® -winning audio technology company CEDAR Audio Ltd, a global pioneer in audio restoration and noise-reduction technology, has become an employee-owned business under the Employee Ownership Trust (EOT) model. Initium Corporate Finance, itself an employee-owned firm, acted as advisor to CEDAR Audio throughout the process.
Founded in 1988, and headquartered in Cambridge UK, CEDAR Audio has built an international reputation for technical excellence and category-defining innovation. The company has delivered a long line of world firsts, including the world’s first real-time digital audio restoration systems, the first hardware-based digital restoration processors, and the invention of spectral editing, sub-sample phase/time correction, and digital de-hissing technologies that require no spectral fingerprint.
“When Initium introduced the concept of employee ownership, we knew that it was the right way forward for CEDAR. They then guided us through every stage of the process” – Gordon Reid, Chairman, CEDAR Audio
Today, CEDAR Audio’s solutions are used by leading broadcasters, film studios, post-production houses, national archives, and government agencies around the world. Its breakthrough DNS (Dialogue Noise Suppression) technology is considered to be an industry standard and, among other applications, is used on virtually all major dubbing stages globally.
CEDAR’s innovation has been recognised with multiple major awards – including an Academy Award®, an Emmy®, and two Cinema Audio Society Awards – cementing its position as one of the world’s most influential audio technology companies.
The decision to transition to an employee-owned trust reflects the company’s long-standing culture, which allows highly skilled employees to flourish in an exciting environment that encourages personal growth and technical leadership, and which now offers them the opportunity to shape and benefit from the company’s success.
About the transaction
Commenting on the transaction, Gordon Reid, Chairman of CEDAR Audio said, “For nearly forty years, we have tried to ensure that CEDAR Audio has been an exceptional place to work. We have always tried to treat our staff as much more than just employees, and implemented people-centred policies such as flexible working long before it became fashionable. I have a huge respect for my colleagues across every part of the company; these are the people who have created and enhanced our reputation through genuine innovation and excellent product development. Rewarding them by establishing an Employee Ownership Trust feels completely natural, and my co-founders were entirely supportive when I proposed this to them. The outcome protects our independence, secures our long-term future, and ensures that the team who drive CEDAR benefit from the company’s success. It honours the values on which CEDAR was built and will help to ensure continuity and our unique culture.”
Regarding Initium’s role in the transactions, he added, “We met Initium before we learned of the existence of EOTs and were considering the possibility of some sort of M&A event. But when they introduced the concept of employee ownership, we knew that it was the right way forward for CEDAR. They then guided us through every stage of the process. They would not have been able to do so had they not taken the time to understand our rather unusual company. But having learned who we are and what we wanted to achieve, they helped us to shape an arrangement that simultaneously allows us to fulfil our responsibilities toward our founders and fit the long-term goals of the company.”
Andrew Sims of Initium added: “CEDAR Audio is a remarkable business – technically brilliant, globally respected, and driven by a deep sense of purpose. This transition honours its past while setting the foundation for sustainable, people-centred growth. It has been a privilege to support the CEDAR team in shaping this next chapter.”
What is an Employee Ownership Trust (EOT)?
An Employee Ownership Trust enables a company to be owned by its employees via a trust structure. Rather than individuals buying shares directly, the EOT holds them collectively on behalf of the workforce. This model allows founders to exit while preserving the company’s culture, independence, and long-term focus — and it gives staff a meaningful stake in the business they help to build.
Initium became employee owned under this model in 2022. Learn more about EOTs and watch a webinar case study here
