A high-quality, pragmatic corporate lawyer is a critical component of your sell side advisory team. Your corporate finance advisor’s job is to maximise transaction value on the best possible terms, while your corporate lawyer’s primary role is to ensure you keep as much of that value as possible, post-sale.
An experienced corporate lawyer – ideally one who has previously worked on both sell-side and buy-side – will have a breadth and depth of knowledge in terms of market practice for transactions of all types and values. They will have an excellent understanding of risk allocation, and therefore the best way to minimise your risk as sellers.
